("SONA") and Eastern Virginia Bankshares, Inc. ("EVBS"), as amended, EVBS merged with and into SONA, with SONA as the surviving company (the "Merger"). In the Merger, each share of EVBS common stock converted into 0.6313 shares of SONA common stock.
