Egan is the Grantor and Trustee, for the benefit of Michael S. Egan's children, sold to Delfin Midstream LLC, in a privately negotiated transaction, a total of 312,825,952 shares of the issuer's Common Stock for an aggregate purchase price of $25,000 (the "Transaction"). After giving effect to the Transaction, E&C Capital Partners II, LLLP's direct and indirect beneficial holdings of the issuer's Common Stock represent less than 5% of the total issued and outstanding shares of the issuer's Common Stock.
