- [F1]Represents ordinary shares of Cision Ltd. (the "Issuer") sold by Canyon Holdings (Cayman), L.P. ("Canyon Holdings") pursuant the option of the underwriters to purchase additional shares in connection with to the offering of ordinary shares of the Issuer on Form S-3 as contemplated by that certain underwriting agreement, dated September 12, 2018, among the Issuer, Canyon Holdings and the other selling shareholders named therein, and Deutsche Bank Securities Inc., Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC as representatives of the several underwriters named therein. The selling price of such shares was $15.44 per share, which represents the price to public less the underwriting discount and commission.
- [F2]Canyon Holdings is the direct beneficial owner of the securities reported in Table I. Canyon Partners, Ltd. ("Canyon Partners") is the general partner of Canyon Holdings and GTCR Investment X AIV Ltd. ("GTCR AIV") is the sole shareholder of Canyon Partners. Canyon Holdings and GTCR AIV are each managed by a ten-member board of directors (respectively, the "Canyon Board of Directors" and the "AIV Board of Directors").
