In connection with the merger, each share of Issuer's Common Shares was converted into the right to receive the following merger consideration: (i) 0.47 of a share of common stock of Tower Group, Inc., having a market value of $26.78 per share on the effective date of the merger; (ii) an amount in cash equal to $1.83; and (iii) a small amount of cash in lieu of any fractional shares of common stock of Tower Group, Inc.
