ITEM 2.02. Results of Operations and Financial Condition.

On May 5, 2011, DIRECTV issued a press release, which contained information regarding the first quarter 2011 consolidated results of DIRECTV Holdings LLC (“Holdings”). The press release did not include certain financial statements, related notes and certain other financial information that will be filed with the Securities and Exchange Commission as part of Holdings’ Quarterly Report on Form 10-Q. A copy of the press release relating to such announcement, dated May 5, 2011, is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
