Results of Operations and Financial Condition.

On May 12, 2011, Valpey-Fisher Corporation (“the Company”) issued a press release announcing the Company’s financial results for the first quarter ended April 3, 2011. A copy of the Company’s press release regarding such announcement is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.
