Item 2.02 Results of Operations and Financial Condition.

On May 16, 2011, Lotus Pharmaceuticals, Inc. (the “Company”) issued a press release announced its financial results for the quarter ended March 31, 2011 and certain other information. A copy of the Company’s press release announcing these financial results and certain other information is attached hereto as Exhibit 99.1.
