Item 1.01 Entry into a Material Definitive Agreement.

On March 25, 2024, Auto Parts 4 Less Group, Inc., a Nevada corporation (the “Company”), entered into Standstill Agreements with Bigger Capital Fund, LP, Cavalry Fund I, LP and District 2 Capital Fund LP. On April 2, 2024, the Company entered into a Standstill Agreement with AJB Capital Investments LLC. On April 4, 2024, the Company entered into a Standstill Agreement with COVE Funding, LP, collectively, the “Standstill Agreements”.

The foregoing descriptions of the Standstill Agreements do not purport to be complete and are qualified in their entirety by reference to the full text of the Standstill Agreements, copies of which are filed as Exhibits 10.1 through 10.5 to this Current Report on Form 8-K and incorporated by reference herein.

Item 7.01 Regulation FD Disclosure.

On April 8, 2024, the Company issued a press release announcing significant debt standstill agreements. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
