Item 8.01. Other Events.

On May 5, 2005, Asset Backed Securities Corporation (the “Company”) entered into a Pooling and Servicing Agreement dated as of May 1, 2005 (the “Agreement”) among Asset Backed Securities Corporation, as depositor, (the “Depositor”), DLJ Mortgage Capital, Inc., as seller (the “Seller”), Wells Fargo Bank, N.A., as master servicer (the “Master Servicer”), Select Portfolio Servicing, Inc., as servicer (the “Servicer”) and U.S. Bank National Association, as trustee (the “Trustee”), providing for the issuance of the Company’s Asset Backed Pass-Through Certificates, Series 2005-HE4 (the “Certificates”). The Pooling and Servicing Agreement is annexed hereto as Exhibit 99.1.
