Item 8.01. Other Events.

On June 30, 2006, Deutsche Alt-A Securities, Inc., (the “Company”) entered into a pooling and servicing agreement dated as of June 1, 2006 (the “Pooling and Servicing Agreement”), among the Company, as depositor, HSBC Bank USA, National Association as trustee (the “Trustee”) and Wells Fargo Bank, National Association as master servicer (the “Master Servicer”) and securities administrator (the “Securities Administrator”) providing for the issuance of Deutsche Alt-B Securities Mortgage Loan Trust 2006-AB3, Mortgage Pass-Through Certificates, Series 2006-AB3. The Pooling and Servicing Agreement is annexed hereto as Exhibit 4.1.
