Such stock power was delivered to an escrow agent to be held until the stock certificates are released by a third party lender. The reporting person does not have or share the right to vote or to the right to dispose of any such shares.
- [F2]The price reflects the closing market price per share of the issuer's common stock on April 17, 2003. The Settlement Agreement provided for the settlement of certain lawsuits and the termination of certain agreements among the parties, the transfer of certain assets and liabilities from the issuer to the reporting person, and certain mutual releases. The shares were transferred to the issuer pursuant to the Settlement Agreement for no additional consideration.
