- [F1]Diversified Apparel Resources, LLC, a California limited liability company ("Diversified"), acquired the reported securities on January 3, 2006 pursuant to a note conversion agreement between Diversified and the Issuer providing for the conversion of $7,500,000 of the principal amount due under a subordinated secured promissory note dated July 31, 2005 issued by the Issuer to Diversified in the principal amount of $47,500,000, into 1,428,571 shares of common stock of the Issuer (the reported securities herein) at the rate of $5.25 per share. The Reporting Person, as a 32.2% owner of, and the manager of Diversified, may be deemed to beneficially own the shares owned by Diversified. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
- [F2]Consists of 1,570,915 shares held by Guez Living Trust dated December 6, 1996, 1,379,225 shares held by 215 GZ Partners, 584,220 shares held by Griffin James Aron Guez Irrevocable Trust dated January 1, 1996, and 584,220 shares held by Stephan Avner Felix Guez Irrevocable Trust dated January 1, 1996. The Reporting Person may be deemed to beneficially own the shares held by Guez Living Trust dated December 6, 1996 and 215 GZ Partners but disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
