The Restricted Stock Units vest on the earlier of (i) January 1, 2016, (ii) such earlier date as provided in the 2009 Equity Incentive Plan or (iii) on a pro-rata basis (proportionately to the number of days served by the reporting person on the Board of Directors during the year) on the date the reporting person ceases to be a director. The Restricted Stock Units will be payable to the reporting person within 20 days after they vest. Any units that do not vest will be forfeited.
