Item 8.01. Other Events.

On August 20, 2025, the Company declared a cash dividend of $0.06 per share of its common stock. The dividend is payable on October 3, 2025 to stockholders of record on September 18, 2025.

On August 22, 2025, the Company issued a press release regarding the announcement of the cash dividend. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
