- [F1]Restricted shares of common stock, par value $0.01 per share, of Wynn Resorts, Limited (the "Company") granted pursuant to the Company's 2014 Omnibus Incentive Plan. On March 23, 2020, Admiral Johnson voluntarily reduced a portion of his cash retainer compensation for the remainder of 2020 in exchange for a grant of an equivalent value of restricted shares of the Company's common stock. Such restricted stock will vest in full on December 31, 2020. Should Admiral Johnson leave the Company's board of directors prior to December 31, 2020 for any reason, the restricted stock grant shall vest on a pro-rata basis.
