On March 23, 2020, Ambassador Randt voluntarily reduced a portion of his cash retainer compensation for the remainder of 2020 in exchange for a grant of an equivalent value of restricted shares of the Company's common stock. Such restricted stock will vest in full on December 31, 2020. Should Ambassador Randt leave the Company's board of directors prior to December 31, 2020 for any reason, the restricted stock grant shall vest on a pro-rata basis.
