- [F1]The shares of Common Stock reported herein are directly beneficially owned by RVSI Investors, L.L.C. ("RI"). EGI-Fund (02-04) Investors, L.L.C. ("Fund 02-04") holds a 61.539 percent membership interest of RI, and, accordingly, Fund 02-04, and, through it, EGI-Managing Member (02-04), L.L.C. ("MM"), SZ Investments, L.L.C. ("SZ"), and Chai Trust Company, L.L.C. ("Chai"), each have a pecuniary interest in 1,519,835 of the 2,469,710 shares of Common Stock held by RI.
- [F2]The shares of Common Stock reported herein are directly beneficially owned by RI. Fund 02-04 is the sole managing member of RI, MM is the sole managing member of Fund 02-04, SZ is the sole managing member of MM, and Chai is the indirect manager of MM, and thus each have indirect beneficial ownership of such shares.
- [F3]On June 24, 2004, the Issuer issued a Common Stock Warrant to purchase up to 450,000 shares of Common Stock. The Warrant vests based upon satisfaction of criteria specified in the Warrant. As of August 16, 2004, criteria were satisfied resulting in the vesting of the Warrant as to 50,000 shares, in addition to the 200,000 shares previously vested. The Warrant has previously been exercised as to such 200,000 previously vested shares. 30,770 shares reflects Fund 02-04's 61.539 percent membersh ip interest of RI.
- [F4]The Warrant was issued as consideration for the making of certain loans and other financial accommodations to the Issuer.
- [F5]The Warrant reported herein is directly beneficially owned by RI and indirectly beneficially owned by Fund 02-04, the sole managing member of RI, MM, managing member of Fund 02-04, SZ, managing member of MM, and Chai, the indirect manager of SZ.
