In addition, 5,400,000 additional shares are expected to be issued to Mr. Ganot in the following days pursuant to a Securities Purchase Agreement dated September 10, 2009, as amended on December 23, 2009, between us and Noam Elimelech Ltd. ("Noam"), an Israeli private company wholly owned by Mr. Ganot, and pursuant to the payment of $60,000 to us from Noam on May 15, 2010.
