- [F1]Represents the final purchase of shares pursuant to the terms of a Securities Purchase Agreement dated September 10, 2009, as amended on December 23, 2009, between the Registrant and Noam Elimelech Ltd. ("Noam"), an Israeli private company wholly owned by Mr. Ganot (the "Agreement"). Under the terms of the Agreement, Noam purchased over a period of sixteen months a total aggregate amount of 150,000,000 of the Registrant's shares of Common Stock in exchange for an aggregate purchase price of $1,500,000.
- [F2]These shares were issued in lieu of unpaid salary and expenses from September 10, 2009 in the aggregate amount of $31,525 owed to Mr. Ganot under his employment agreement with Global Energy.
- [F3](i) One-third of the 600,000 options issued to the Reporting Person have an exercise price of $0.0243; (ii) one-third of the options have an exercise price of $0.0304; and (iii) one-third of the options have an exercise price of $0.0365.
