- [F1]The reporting person, a member of the board of directors of the Issuer, is also an officer of FIMI IV 2007 Ltd., the general partner of each of FIMI ENRG, L.P. ("FIMI ENRG 1") and FIMI ENRG, Limited Partnership ("FIMI ENRG 2"). On the date hereof, FIMI IV 2007 Ltd., FIMI ENRG 1, FIMI ENRG 2 and Ishay Davidi (the "FIMI Entities") filed a Form 3 in connection with their beneficial ownership of 7,314,118 shares of common stock, (the "Shares") of the Issuer. In such Form 3, FIMI Entities stated that due to certain agreements with Bronicki Investments Ltd ("Bronicki") the FIMI Entities may be deemed to beneficially own 4,293,243 Shares beneficially owned by Bronicki, which together with the 7,314,118 Shares beneficially owned by the FIMI Entities represent approximately 23.91% of the Issuer's outstanding Shares. The FIMI Entities disclaim beneficial ownership of all Shares owned by Bronicki. The reporting person disclaims beneficial ownership of the reported securities.
