- [F1]Pursuant to the terms of the Third Amended and Restated Employment Agreement entered into by Graphic Packaging International Corporation, any company controlled by, controlling, or under common control with Graphic Packaging International Corporation and the reporting person (the 'Employment Agreement'), in connection with the merger of Grahpic Packaging International Corporation into Riverwood Acquisition Sub LLC (the 'Merger'), the reporting person has elected to cancel these options in favor of a cash payment of the amount of the spread between the fair market value of the shares underlying these options, measured as of August 8, 2003, and the exercise price of the options. The amount reported on Table II is the amount received by the reporting person per option canceled.
