("PDP") distributed 5,630,860 shares of the Issuer's common stock to Mr. Tomlinson in connection with Mr. Tomlinson's complete withdrawal from PDP and the resulting adjustments to the capital accounts of the other members of PDP. As a result of his withdrawal from PDP, Mr. Tomlinson had direct ownership of 6,109,915 shares of the Issuer's common stock in the aggregate. After giving effect to the sale of 3,000,000 shares of common stock to the Issuer reported on this Form 4, Mr. Tomlinson now owns 3,109,915 shares of the Issuer's common stock.
