- [F1]Common stock was issued on August 12, 2010 pursuant to the vesting of Time-based Restricted Stock Units ("RSUs") granted under the Reddy Ice Holdings, Inc. 2005 Long Term Incentive and Share Award Plan, as amended (the "Plan").
- [F2]Ninety-Thousand RSUs were issued to the Reporting Person on June 23, 2008 pursuant to the Plan. The RSUs are subject to vesting as follows: (i) 20,000 on August 12, 2009, (ii) 30,000 on August 12, 2010; and (iii) 40,000 on August 12, 2011. Fifty percent of the RSUs granted are time-based and fifty percent are performance-based. The Time-based RSUs vest in three annual installments beginning on August 12, 2009 and continuing on August 12 of each of the following two years.
