On November 1, 2010, in an exempt transaction under Rule 16b-3 6,405 shares of the restricted stock were withheld by Lawson to pay the minimum tax withholdings based on the closing price of $9.00 per share on November 1, 2010, and the remaining 8,595 shares are no longer subject to these restrictions.
