Pursuant to a Transition Retention Agreement, dated as of February 28, 2011, between the Issuer and the reporting person (which agreement was filed with the SEC on a Form 8-K by the Issuer on the same date), the vesting criteria of these shares has been amended so that the shares will vest as of the date of the Issuer's 2011 Annual Meeting of Stockholders, which is expected to occur on May 3, 2011. Notwithstanding the terms and conditions of such agreement, the change in the vesting criteria of these shares is subject to any required notice, non-objection or approval of the Issuer's regulators.
