- [F1]The amount in Box 5 gives effect to the following events which occurred in connection with the effectiveness of the Issuer's initial public offering ("IPO"): (i) the adjustment of the shares of Issuer common stock ("Adjustment"), which resulted in the issuance to the Reporting Person of an additional 5,093 shares and (ii) the subsequent 65.266-for-1 stock split effected by the Issuer ("Stock Split").
- [F2]The amounts in Box 5 give effect to: (i) the Adjustment, which resulted in the issuance to the Reporting Person of an additional 1,665 shares, in the aggregate, and (ii) the subsequent Stock Split.
- [F3]The Reporting Person is a trustee of the respective trust with shared voting and investment control over the securities held thereby. The Reporting Person disclaims beneficial ownership of the securities held by the respective trust, except to the extent of his pecuniary interest therein.
- [F4]Upon closing of the IPO, the limited partnership agreement of Athlon Holdings LP ("Athlon Holdings"), which is controlled by the Issuer, was amended and restated to, among other things, reclassify Athlon Holdings different classes of interests into a single new class of units referred to as New Holdings Units. Pursuant to the reclassification, the Reporting Person's Class A limited partnership interest in Athlon Holdings was reclassified into the number of New Holdings Units reflected in the table above.
- [F5]Pursuant to an Exchange Agreement entered into by the Reporting Person and the Issuer in connection with the closing of the IPO, the Reporting Person may, under certain circumstances after the first anniversary of the closing of the IPO, exchange his New Holdings Units for shares of Issuer common stock on a one-for-one basis, subject to customary conversion rate adjustments for stock splits, stock dividends and reclassifications.
