A Form 4 reporting the acquisition by the Reporting Person of 6,548 of the Issuer's phantom shares was filed on August 12, 2013. This report erroneously showed that the Reporting Person acquired a pecuniary interest in the phantom shares shown on such Form 4. The report should have instead shown that the Reporting Person acquired a pecuniary interest in the restricted common shares shown on Table I of this Form 4/A.

The phantom shares become payable, in cash or common shares, at the election of the Company, upon the earlier of (i) the first day of January following the reporting person's termination of service as a director or (ii) an election date pre-selected by the reporting person, and in any event in cash or common shares, at the election of the reporting person, upon the occurence of a change in control of the Company.
