Employee Stock Purchase Plan on May 31, 2013 and 17,500 previously unvested restricted stock units granted on August 15, 2012 and previously reported on Table II. A total of 4,375 restricted stock units under such award was scheduled to vest on August 15, 2013. However, due to the black out policies implemented by AMAG Pharmaceuticals, Inc. and certain tax laws, the shares underlying such restricted stock units were not delivered to the reported person until December 16, 2013, at which time 1,429 shares were withheld to satisfy the reporting person's tax obligations. Thus, after taking into account the delivery of the shares on December 16, 2013, this total includes 13,125 unvested restricted stock units previously reported on Table II.
