("Arrangement Agreement") and the Plan of Arrangement approved by the Lexam shareholders and contemplated by the Arrangement Agreement ("Plan of Arrangement"), each subscription receipt automatically converted into one (1) share of McEwen Mining common stock following approval by the McEwen Mining shareholders of the issuance of the Shares at the annual meeting of shareholders on May 25, 2017.
