As described in the Issuer's 2020 proxy statement, in response to stockholder feedback, the Issuer changed its long-term incentive program to include restricted stock units and/or performance stock units instead of stock options. Due to the uncertainty created by the impact of the COVID-19 pandemic, the annual grant for 2020 consisted 100% of restricted stock units. The restricted stock units vest over three years, with one-third vesting on each of the first three anniversaries of the grant date.
