AMP-95 MCLP is the general partner of, and has been attributed with beneficial ownership of shares of common stock held by, Ampersand 1995 Limited Partnership and Ampersand 1995 Companion Fund Limited Partnership. AMP-95 MCLP LLP disclaims beneficial ownership of all such shares except to the extent of its proportionate pecuniary interest therein. Ampersand 1995 Limited Partnership distributed all 1,014,771 shares of the issuer's common stock held by it in a pro-rata distribution to its partners on January 23, 2004. Ampersand 1995 Companion Fund Limited Partnership distributed all 16,511 shares of the issuer's common stock held by it in a pro-rata distribution to its partners on January 23, 2004. AMP-95 MCLP received 20,519 shares from these distributions. AMP-95 MCLP distributed these shares to its partners on January 23, 2004.
