Explanation of Responses:

(1) The stock options granted to the Reporting Person on April 8, 2002 under the Issuer's 1997 Stock Plan became exercisable 25% on the first anniversary of the date of the grant and 6.25% per quarter thereafter, based upon continued employment, for the remaining term of four (4) years, such that the options will be fully vested on April 8, 2006.
