Bell and the other individual, the right to repay the loans in cash or, at the option of Mr. Flanagan, by the transfer from Mr. Flanagan to Mr. Bell and the other individual shares of common stock of the issuer (the "Put Options"), which shares, for this purpose, had an agreed-upon value of $8.565 per share.
