Flanagan, in connection with a loan from Mr. Bell to Mr. Flanagan, the right to repay the loan in cash or, at the option of Mr. Flanagan, by the transfer from Mr. Flanagan to Mr. Bell of shares of common stock of the issuer (the "Put Option"), which shares, for this purpose, had an agreed-upon value of $8.565 per share. Mr. Flanagan exercised this Put Option on July 2, 2003.
