- [F1]Shares were acquired as a result of the merger of the Issuer with Applied Digital Solutions, Inc.'s (ADS's) 93% owned subsidiary, Digital Angel Corporation (which we refer to as pre-merger Digital Angel), on March 27, 2002. The Digital Angel Share Trust (Trust) was established to own the shares of the Issuer owned by ADS following the merger. The establishment of the Trust was a condition of IBM Credit's consent to the merger and to the release of IBM's security interest in pre-merger Digital Angel. Prior to the merger, ADS had joint ownership with pre-merger Digital Angel of 850,000 shares of the Issuer's common stock. The 850,000 shares were also contributed to the Trust. ADS and Digital Angel Share Trust share voting and dispostive rights with regard to the 19,600,000 shares.
- [F2]Amount represents the aggregate purchase price per the terms of the merger agreement, including direct costs of the acquistion.
- [F3]On March 12, 2001, ADS filed a Form 3/A reporting the acquisition of 850,000 shares of the Issuers stock. This form was filed jointly with pre-merger Digital Angel. As a result of the merger, pre-merger Digital Angel is no longer a joint owner of the shares. Accordingly, this is a final Form 4/5 for pre-merger Digital Angel.
