- [F1]On January 1, 2004, Bain Capital Fund IV, L.P. ("Fund IV") was merged with and into Bain Capital Fund IV-B, L.P. ("Fund IV-B"). In connection with the merger, Fund IV-B changed its name to "Bain Capital Fund IV, L.P." Fund IV and Fund IV-B were parallel investment funds that invested in the same portfolio companies on the same terms and conditions. As a result, the merger has not the changed the relative pecuniary interests or the beneficial ownership of the respective partners of Fund IV and Fund IV-B with respect to the subject securities.
- [F2]In connection with the merger, each outstanding partnership interest in Fund IV was automatically converted into an identical partnership interest in Fund IV-B.
