The reporting person is a director of the Issuer and received the Option as compensation for his services as a member of the Issuer's Board of Directors. The reporting person is also a Managing Director of Shamrock Capital Advisors, Inc. ("SCA") and an Executive Vice President and a member of Shamrock Capital Partners, L.L.C. ("SCP"). SCP is the General Partner of the Shamrock Capital Growth Fund, L.P. (the "Fund").

The Fund and SCA directly own 2,769,211 and 119,620 shares, respectively, of the Issuer's common stock (collectively, the "Shamrock Shares"). The reporting person may be deemed, for purposes of Section 16, to be the indirect beneficial owner of the Shamrock Shares and disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
