Pursuant to the terms of the Merger Agreement, BG Partners LLP disposed of 46,959 shares of Common Stock in exchange for 40,854 American Depositary Shares ("ADSs") of STATS. The ADSs had a market value of $6.36 per ADS as of August 5, 2004.
