- [F1]On February 24, 2005 the Reporting Person was awarded the right to purchase 5,800 shares of restricted stock under the Issuer's 2004 Incentive Stock Plan at a purchase price of $1.00 per share as a performance bonus (the "Bonus Award") for services rendered to the Issuer during 2004. As reported on the Form 4 filed on behalf of the Reporting Person on February 28, 2005, the Reporting Person had until April 25, 2005 to elect to purchase such shares. This amendment is being filed to reflect the Reporting Person's April 25, 2005 election to purchase 3,370 of the 5,800 shares of restricted stock subject to the Bonus Award with the balance of the Bonus Award to be paid by the Issuer to the Reporting Person in cash. As of February 24, 2005, the Reporting Person owned 13,370 shares of Issuer common stock.
