The reporting person has been attributed with beneficial ownership of the shares of the issuer's stock held by the Fund. The Fund distributed 920,148 shares of the issuer's common stock held by it in a pro rata distribution to its partners on August 5, 2005 for no consideration.
- [F2]This amount reflects the addition of 45 shares to correct an error in the total holdings of the Fund reported on the Form 4 dated June 28, 2005.
- [F3]The reporting person received 202,095 shares from the distributions described in Footnote 1. Because the reporting person had previously reported indirect beneficial ownership of these shares, this transaction constitutes a mere change in the form of beneficial ownership.
