Item 7.01. Regulation FD Disclosure

On August 23, 2005, Wells Real Estate Fund VI, L.P. (the "Registrant") will send a letter to its limited partners advising them regarding the SEC's guidance on mini-tender offers and the Registrant's method for responding to such offers in the future. A copy of this letter is attached as Exhibit 99.1 to this Current Report on Form 8-K. Pursuant to the rules and regulations of the Securities and Exchange Commission, such exhibit and the information set forth therein are deemed to have been furnished and shall not be deemed to be "filed" under the Securities Exchange Act of 1934.

The Registrant recently received notice of an unsolicited mini-tender offer for Class B limited partnership units. The Registrant's response to this offer is attached as Exhibit 99.2 to this Current Report on Form 8-K. Pursuant to the rules and regulations of the Securities and Exchange Commission, such exhibit and the information set forth therein are deemed to have been furnished and shall not be deemed to be "filed" under the Securities Exchange Act of 1934.
