- [F1]On May 16, 2005, the Reporting Person resigned as a managing director of the general partner of Calmedica Capital, L.P. ("Calmedica Capital") and ceased to beneficially own these shares as of such date.
- [F2]Calmedica LLC ("Calmedica") held 315,000 shares. On August 31, 2005, Calmedica distributed 191,800 shares to its members. Of the 191,800 shares distributed, 74,900 shares were distributed to the Reporting Person and represent the Reporting Person's pecuniary interest in the shares distributed by Calmedica. The Reporting Person disclaims beneficial ownership of the remaining 123,200 shares held by Calmedica except to the extent of his pecuniary interest therein.
- [F3]Of the 74,900 shares gifted, 2,050 shares were gifted to one or more tax-exempt organizations and 72,850 shares were gifted to the Litvack Curtis Family Trust (10/4/90).
- [F4]Shares are held in the Litvack Curtis Children's Trust (3/4/92). The Reporting Person disclaims beneficial ownership of the shares held by this trust, and this report shall not be deemed an admission that the reporting person is the beneficial owner of these shares for purposes of Section 16 or for any other purpose.
