- [F1]The reporting persons acquired the Class A Common Stock in settlement of a debt of $32,174,208 owed to the reporting persons by News Corporation (the "Company") pursuant to the terms of the Kayarem Share Exchange Agreement, as amended, by and among the parties thereto (the "KSEA"). The acquisition was statutorily exempt from Section 16(b) of the Securities Exchange Act of 1934, as amended. The debt was incurred on November 12, 2004 in connection with transactions related to the Company's reincorporation to the United States. Pursuant to the KSEA, the number of shares of Class A Common Stock issued to the reporting persons was calculated by dividing the amount of the debt owed to the reporting persons by the closing price on the New York Stock Exchange on October 25, 2005, which was $14.54.
