- [F1]This option, which provided that 25% of the shares subject to the option vests on December 10, 2002 and thereafter the remaining shares subject to the option vest quarterly over four years such that the option is fully vested on December 10, 2006, was assumed pursuant to an Agreement and Plan of Merger between the issuer and EMC Corporation ("EMC"). The option was assumed by EMC in the merger and replaced with an option to purchase 45,945 shares of EMC common stock at an exercise price of $0.89 per share.
- [F2]This option, which provided that 25% of the shares subject to the option vests on May 1, 2004 and thereafter an additional 6.25% of the shares subject to the option vests every three months such that the option is fully vested on May 1, 2007, was assumed by EMC in the merger and replaced with an option to purchase 40,840 shares of EMC common stock at an exercise price of $2.37 per share.
