- [F1]As reported on a Schedule 13D filed on November 10, 2005, New SAC previously sold 9,550,000 American Depositary Shares ("ADSs"), each ADS representing one ordinary share, nominal value Euro 0.10 per share, of the Issuer, at a price of $35.02 per ADS pursuant to an underwriting agreement with Goldman, Sachs & Co. The August Funds, together with affiliates of the August Funds, own approximately 11.4% of the total outstanding ordinary shares of New SAC as of November 9, 2004. David Marquardt, a member of the Designated Filer, is a member of the board of directors of New SAC.
- [F2]The Designated Filer is August Capital Management III, L.L.C., the general partner of August Capital III, L.P., August Capital Strategic Partners III, L.P. and August Capital III Founders Fund, L.P. (collectively, the "August Funds").
