If the Reporting Person ceases to be a Service Provider as a result of his resignation after the completion of the Issuer's second quarter of fiscal year 2006, but prior to the completion of the third quarter of fiscal year 2006, a total of 4,000 shares covered by the Restricted Stock Units will vest on January 2, 2007. If the Reporting Person ceases to be a Service Provider as a result of his resignation after the completion of the Issuer's third quarter of fiscal year 2006, but prior to December 31, 2006, a total of 7,000 shares covered by the Restricted Stock Units will vest on January 2, 2007. Any Restricted Stock Units that are unvested as of January 2, 2007 will be forfeited to the Issuer.
