- [F1]On March 24, 2006, the Reporting Person was awarded the right to purchase from the Issuer 3,600 shares of restricted stock at a purchase price of $1.00 per share, in lieu of a cash bonus under the Issuer's 2004 Incentive Stock Plan based upon the achievement of certain performance objectives established for the year ended December 31, 2005. As reported on the Form 4 filed on behalf of the Reporting Person on March 28, 2006, the Reporting Person had until May 23, 2006 to elect to purchase such shares. This amendment is being filed to reflect the Reporting Person's May 23, 2006 election not to purchase any of the 3,600 shares of restricted stock and to receive a cash payment in lieu thereof. As of March 24, 2006, the Reporting Person owned 11,594 shares of Issuer common stock.
