Item 7.01. Regulation FD Disclosure

MD Technologies Inc. and Terry D. Jones, a current member of the Board of Directors and a former employee, have agreed to convert $30,000 of the debt currently owed to him as compensation for past services rendered into common stock pursuant to a private placement at a conversion rate of $2.00 a share for a total of 15,000 shares.
