In such capacity, Dr. Widder has full voting and investment control with respect to the shares held of record by The Widder Family Limited Partnership. As a result, Dr. Widder may be deemed to be the beneficial owner of such shares. However, Dr. Widder specifically disclaims beneficial ownership of all shares held of record by The Widder Family Limited Partnership except to the extent of his economic interest therein.
[F2]Acquired as contingent consideration in exchange for stock of Sytera, Inc. pursuant to the merger of Sytera, Inc. into Sirion Therapeutics, Inc., a wholly-owned subsidiary of the registrant, as a result of the occurrence of events with respect to the development of ST-602 (which was acquired from Sytera, Inc. in the merger). In connection with the registrant's acquisition of Sirion Therapeutics, Inc., the registrant assumed Sirion Therapeutic, Inc.'s obligations pursuant the merger. The reporting person may receive an indertminate number of additional shares of the registrant's common stock as contingent consideration pursuant to the merger based on the occurrence, if any, of additional events with respect to the development and commercialization of ST-602.
