- [F1]This Form 4 reports increases in exercise prices for certain options as a result of the Company's review of its historic option granting practices. The new exercise price is equal to the fair market value of the Company's common stock on the grant date that the Company determines for purposes of its restated financial statements should have been used (or, in certain instances, a lesser price to the extent permitted by Section 409A of the Internal Revenue Code without resulting in the imposition of additional taxes, but in no event less than the exercise price of the old option). The replacement option is otherwise subject to the same terms and conditions as the old option, include vesting and exercise schedule.
